CBZ Holdings, the parent company of CBZ Bank, has initiated a restructuring exercise to adapt to the changing business environment and enhance its market position.
As part of this process, 13 senior executives will leave the company next month. The first phase of the restructuring will see these executives departing on October 1, with their contracts set to be mutually terminated by the end of the year. CBZ chief executive Lawrence Nyazema said in a statement:

CBZ Holdings is embarking on a restructuring exercise across its group of companies, aimed at aligning the Group’s strategic thrust with the evolving business environment.
This move is part of our broader efforts to strengthen our market position and ensure long-term sustainability in our dynamic market.
The first phase of the process is at the executive level, resulting in the departure of thirteen (13) senior executives.
The executives will go on garden leave starting 1 
October 2024, with mutual termination of their contracts expected by 31 December 2024.

CBZ Holdings Embarks On Restructuring Exercise

President Mnangagwa has approved the appointment of Mrs Molly Dingani as the Deputy Chairperson of the National Railways of Zimbabwe (NRZ) board.
Transport and Infrastructural Development Minister Felix Mhona said Dingani’s appointment is with effect from December 1, 2023, and lasts until November 30, 2026. Mrs. Dingani will be taking over from General William Dube, whose term has expired. The NRZ board is currently chaired by Mike Madiro. In a letter dated November 27, Minister Felix Mhona said:

I am pleased to advice you that His Excellency, The President of Zimbabwe, Cde E.D Mnangagwa has approved your appointment as Deputy Chairperson of the National Railways of Zimbabwe Board.
You shall serve in that capacity with effect from 01 December 2023 to 30 November 2026.

Dingani also holds the position of Divisional Director for Business Banking at CBZ Holdings.

President Mnangagwa Approves Appointment Of Mrs Molly Dingani To NRZ Board

The CBZ Holdings board has approved the merger of its units, CBZ Bank Limited and CBZ Building Society into one entity.
In May this year, the Reserve Bank of Zimbabwe (RBZ) approved the amalgamation of the two units in terms of Section 25(5) of the Banking Act [Chapter 24:20], the <a href="https://www.chronicle.co.zw/cbz-bank-building-society-merger-approved/">Chronicle</a> reported.
Reads part of the statement released by the bank to shareholders on Tuesday: 
<blockquote>
The board of directors (the “board”) of CBZ Holdings Limited wishes to advise all shareholders and the investing public that the board approved to merge the operations of CBZ Bank Limited and CBZ Building Society into one entity, CBZ Bank Limited.
We further advise that on 20 May 2022, the Minister of Finance and Economic Development approved the amalgamation of CBZ Bank Limited and CBZ Building Society as required in terms of section 25(5) of the Banking Act [Chapter 24:20].
Following the approval, a public notice was issued in the Gazette on 12 August 2022, in terms of section 25(6) of Banking Act [Chapter 24:20] advising of the approval of the amalgamation.
</blockquote>
It added that the Building Society licence has been surrendered to the Registrar of Building Societies for cancellation in terms of section 14(3) of the Building Societies Act [Chapter 24:02].
The bank said the amalgamation is going to be effected through the consolidation of all assets, liabilities and equity of CBZ Bank Limited and CBZ Building Society into one entity, CBZ Bank Limited.

CBZ Holdings Board Approves The Merger Of CBZ Bank Limited And CBZ Building Society

Financial services giant, CBZ Holdings Limited (CBZHL) will hold an extraordinary general meeting (EGM) on January 31, 2022, to seek approval from its shareholders to acquire a stake of 31.22% in First Mutual Holdings Ltd (FMHL).
The shares are held by the National Social Security Authority (NSSA).
CBZHL currently holds a 3.23% shareholding in FMHL through a special purpose vehicle held under PIM Nominees (Pvt) Limited.
The acquisition of the additional shares from NSSA constituting 31.22% of the issued ordinary shares of FMHL will take CBZ Holdings Limited’s total shareholding to approximately 34.45%.
In a circular to shareholders, CBZ said the board approved the company’s formal bid for the acquisition of the 31.22% equity stake in FMHL held by Nssa. Rumbidzayi Angeline Jakanani, group legal corporate secretary, said in a statement:

Realising the potential synergistic opportunities between CBZHL and FMHL, the board approved the company’s formal bid for the acquisition of the 31.22% equity stake in FMHL held by Nssa. In June 2021, the company emerged as the highest bidder and was, therefore, granted the opportunity to enter into an agreement with Nssa for the acquisition of their 31.22% equity stake in FMHL.

She said the total purchase consideration for this transaction was agreed at $6 355 922 132, a price of $28 per FMHL ordinary shares excluding transaction costs.
CBZ is looking to acquire 226 997 219 million FMHL shares
Jakanani said the proposed settlement wherein 70% of the transaction consideration shall be settled by way of a share swap involving the issuance and allotment of new CBZHL ordinary shares will result in a dilution of 8.23% to the current shareholders of CBZHL.
The remaining 30% will be settled by cash payment.
The proposed acquisition of FMHL ordinary shares held by NSSA is a related party transaction for the purposes of the Zimbabwe Stock Exchange Listings Requirements because NSSA is a significant shareholder (holding 10% or more of the voting rights) in CBZHL (with an equity stake of 18.17%).
Consequently, Nssa will be precluded from voting at the EGM on the resolution regarding the proposed transaction.
